Dear Directors,

Health and Care Staff Pool Limited (Company No. 14012114) (Company)

  1. [  Delete this text and insert the name of your organisation    ] (Applicant) applies for membership of the Company subject to the Company’s articles of association and the terms of this letter.
  2. The Applicant is a [GP Federation][Primary Care Network Vehicle][Primary Care Practice] as defined in the articles of association of the Company.
  3. The Applicant agrees to pay such subscription fee for membership of the Company as may be required by the directors of the Company from time to time and to procure services from the Company in each case in accordance with the Articles.
  4. The Applicant also agrees that it shall be liable as a member to pay such share of the expenses of the Company in providing services to the members as the directors shall determine from time to time in accordance with Article 20.6.
  5. The Applicant acknowledges that the Company shall make available to the Applicant and its representatives, employees and agents (Applicant Parties), access to the Health and Care Staff Pool platform (Platform).  In relation to the Platform the Applicant:
    1. acknowledges that the Platform is provided by a third party provider and the Company has no liability to Applicant in relation to the Platform, its availability or any matter relating to the software incorporated in the Platform;
    2. undertakes to, and to procure that any representative, employee or agent of the Applicant shall, comply with such terms of use as may apply to the Platform from time to time including such terms of use as the Applicant Parties are required to agree to on accessing the Platform;
    3. acknowledges that any employment of staff or workers (Locum) by the Applicant via the Platform shall be a direct engagement between the Locum and the Applicant and the Company shall have no liability in relation to such engagement;
    4. accepts that the Company is not responsible for any verification of the suitability or qualifications or eligibility to work of Locums and undertake to carry out such checks as may be necessary prior to engaging any Locum through the Platform.
  6. The Applicant acknowledges and agrees that it is the Applicant’s responsibility to ensure that any Locum appointed is not subject to any third party restriction or covenant in relation to their engagement by the Applicant and the Applicant therefore:
    1. confirms and agrees that the Company shall have no liability to the Applicant to the extent any such restriction exists;
    2. hereby irrevocably waives any right to make a claim against the Company in relation to the engagement of a Locum; and
    3. hereby indemnifies the Company in relation to losses, liabilities, costs or expenses suffered or incurred by the Company as a result of any claim made by the Applicant against the Company in breach of the terms of this paragraph 6 save in circumstances where, and only to the extent that, such losses, liabilities, costs or expenses arise from the Company’s negligence.
  1. The Applicant further undertakes to comply with the Articles and acknowledges that the directors of the Company will be entitled to terminate the Applicant’s membership of the Company if the Applicant:
    1. breaches the terms of this letter where such breach is material and if capable of remedy, has not been remedied within 15 days’ of notice in writing from the Company identifying the relevant breach; or
    2. is guilty of conduct which has or is likely to have a serious adverse effect on the Company or bring the Company or any or all of the Members and directors into disrepute; or
    3. has acted or has threatened to act in a manner which is contrary to the interests of the Company as a whole; or
    4. has failed to observe the terms of the Articles and any rules established by the directors pursuant to Article 28.1 or in the circumstances referred at Article 28.2 (failure to procure exempt supplies from the Company).
  2. In consideration for the undertakings in this letter the Applicant requests and authorises you to enter the Applicant’s name in the Company’s register of members and to send to me confirmation in respect of the membership issued pursuant to this application. I acknowledge that my obligations set out in this letter shall be legally binding on your entering my name in the register of members of the Company.

This letter is subject to and shall be construed in accordance with the laws of England and Wales and any dispute arising from this letter shall be subject to the exclusive jurisdiction of the courts of England and Wales.
